Joono — Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the Joono platform and related services (the “Service”), provided by Joono (“Joono”, “we”, “us”, or “our”).
By creating an account, subscribing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Definitions
- Service — the Joono software platform, APIs, tools, dashboards, and related services.
- Customer / You / User — the individual or legal entity using the Service.
- Account Owner — the primary registered account holder responsible for the subscription.
- Subscription — the paid or trial access plan selected by the Customer.
2. Scope of These Terms
These Terms apply to all use of the Service, including trials, paid subscriptions, add-ons, and integrations. Any separate agreement or order form takes precedence where explicitly stated.
Any terms proposed by the Customer that conflict with these Terms are not binding unless accepted in writing by Joono.
3. Account Registration
To use Joono, you must create an account and provide accurate and complete information.
You are responsible for:
- Maintaining the confidentiality of login credentials
- All activities performed under your account
- Ensuring your users comply with these Terms
We may refuse or suspend accounts that contain false or misleading information.
4. Subscription and Contract Formation
A contract is formed when you:
- Accept a quote or order form
- Activate a paid subscription
- Continue using the Service after a trial converts to paid
The Account Owner is legally responsible for the subscription and all authorized users.
5. Fees and Payment
5.1 Pricing Structure
Fees may be based on:
- Subscription tier
- Enabled modules or features
- Number of users
- Booking or transaction volume
- Usage metrics
Applicable fees are defined in your order confirmation or pricing plan.
5.2 Billing
Subscriptions are billed in advance on a monthly or annual basis unless otherwise agreed.
Payments are processed through approved payment providers. You authorize automatic charging of your selected payment method.
5.3 Late Payments
If payment fails or is overdue, we may:
- Suspend access to the Service
- Apply reasonable collection costs
- Charge statutory interest where permitted
6. Trial Periods
If a trial is offered, it is valid only for the stated duration.
At the end of the trial:
- The account may be suspended or limited
- Data may be deleted after a grace period
- Continued use requires conversion to a paid subscription
We may modify or terminate trial offers at any time.
7. Changes to Pricing
We may update pricing from time to time. If your plan is affected, we will provide advance notice.
Continued use after the new pricing takes effect constitutes acceptance.
8. Customer Responsibilities
You agree to:
- Use the Service lawfully
- Not misuse or disrupt the platform
- Not attempt unauthorized access
- Ensure your content and data are lawful
- Obtain required consents from your customers and users
You are solely responsible for the accuracy and legality of your data.
9. Data and Content
You retain ownership of your data.
You grant Joono a limited license to host, process, and transmit your data as necessary to operate the Service.
You are responsible for maintaining your own backups. We are not obligated to restore deleted data unless explicitly agreed.
10. Availability and Maintenance
We aim for high service availability but do not guarantee uninterrupted access.
Downtime may occur due to:
- Scheduled maintenance
- System upgrades
- Third-party failures
- Events outside our control
Maintenance windows may be announced in advance when possible.
11. Third-Party Integrations
The Service may connect with third-party tools or providers.
Joono is not responsible for:
- Third-party outages
- External data accuracy
- Integration failures caused by third parties
Use of third-party services may be subject to separate terms.
12. Acceptable Use Restrictions
You must not:
- Reverse engineer the platform
- Resell access without authorization
- Use the Service for unlawful purposes
- Interfere with system security
- Upload malicious code
We may suspend accounts violating these rules.
13. Intellectual Property
All platform software, design, and documentation remain the exclusive property of Joono or its licensors.
No ownership rights are transferred to you under these Terms.
14. Termination
14.1 By Customer
You may cancel your subscription at any time with written notice. Cancellation takes effect at the end of the current billing period.
Prepaid fees are non-refundable unless required by law.
14.2 By Joono
We may suspend or terminate access if:
- Fees are unpaid
- Terms are violated
- Use is unlawful or harmful
Where reasonable, we will provide notice before termination.
15. Limitation of Liability
To the maximum extent permitted by law:
Joono’s total liability is limited to the amount paid by you in the 12 months preceding the claim.
We are not liable for:
- Indirect or consequential damages
- Loss of profits or revenue
- Loss of data
- Business interruption
16. Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including infrastructure outages, natural disasters, or regulatory actions.
If such conditions persist beyond 60 days, either party may terminate the subscription.
17. Changes to These Terms
We may update these Terms periodically. Updated versions will be posted with a revised date.
Continued use of the Service after changes take effect constitutes acceptance.
18. Governing Law
These Terms are governed by the laws of [YOUR JURISDICTION].
Disputes shall be handled by the competent courts of that jurisdiction unless otherwise required by law.
